TERMS OF USE — LUMINOSITY VENTURES, LLC (DRAFT FOR ATTORNEY REVIEW)

These Terms of Use are an agreement between you and Luminosity Ventures, LLC ("Luminosity", "we") governing the Sunagi service — the idea brief, AI assistant, and scripted meeting demonstration available at this site (the "Service"). By signing in you accept them. If you do not agree, do not use the Service.
Access and accounts
The Service is private and invitation-only, for evaluation and demonstration purposes, and is currently offered to participants located in the United States. It is intended for users aged 18 and older; minors may not use the Service. Your access credentials are personal: keep them confidential, do not share or transfer them, and tell us promptly at ryan@luminosity.llc if you believe your account is compromised. We may modify, suspend, or discontinue the Service, or any account's access to it, at any time.
What the Service is (and isn't)
Meetings shown in the Service are scripted demonstrations — simulated playback of pre-written conversations, labeled as such. The Service does not access your microphone or camera and does not capture, transcribe, record, or process your voice or image. If live meeting features (real-time audio, video, and transcription among participants) are ever enabled for your account, the Live Meeting Addendum will govern your use of those features; it has no effect until then.
AI output
Coaching suggestions, translations, fact-check flags, topic summaries, synthesized speech, and assistant answers are generated by artificial intelligence. AI output can be wrong, incomplete, or unsuitable for your circumstances. It is provided for evaluation only and is not professional advice of any kind — legal, financial, medical, or otherwise. You remain solely responsible for your decisions.
Acceptable use
You agree not to: use the Service to harass, deceive, or impersonate anyone; upload or transmit content that is unlawful or infringes intellectual- property, privacy, or publicity rights; probe, disrupt, or overload the Service, attempt to access other users' data, or circumvent access controls or usage limits; or use the Service to build or train a competing product, or reverse-engineer components that are not publicly available.
Your content
You retain all rights to what you type into the Service, including any coaching profile you create and questions you ask the assistant. You grant Luminosity the limited, non-exclusive license necessary to operate the Service — processing your input through the providers described in the Privacy Policy to generate the features you request. If you send us feedback about the Service, we may use it without restriction or obligation.
Our materials and confidentiality
The Service, including the idea brief, pitch materials, software, and design, belongs to Luminosity and its licensors. The materials are shared with you in confidence for evaluation: you may discuss them within your organization for evaluation purposes, but do not copy, redistribute, or disclose them outside your organization without our written permission. No rights are granted except the limited right to use the Service under these terms, and nothing on this site is an offer to sell securities.
Third-party services
The Service depends on third-party providers (hosting, authentication, AI generation, and speech synthesis). Their availability is outside our control.
Disclaimers
The Service is a pre-release demonstration provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be reliable.
Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) Luminosity's total liability arising out of or relating to the Service is limited to one hundred US dollars (US $100). Nothing in these terms limits liability that cannot be limited by law.
Termination
You may stop using the Service at any time and may request deletion of your data as described in the Privacy Policy. We may suspend or terminate access immediately for breach of these terms or to protect the Service or its users. Sections that by their nature should survive (confidentiality, disclaimers, limitation of liability, disputes, general provisions) survive termination.
Governing law, venue, and disputes
These terms are governed by the laws of the State of Hawaii, without regard to conflict-of-laws rules. The state and federal courts located in Honolulu, Hawaii have exclusive jurisdiction and venue over any dispute arising out of or relating to these terms or the Service, and each party consents to personal jurisdiction there. Before filing any claim, you agree to contact us at ryan@luminosity.llc and attempt in good faith to resolve the dispute informally for 30 days.
General
If any provision of these terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions continue in full force. These terms, the Privacy Policy, and (if triggered) the Live Meeting Addendum are the entire agreement between you and Luminosity regarding the Service and supersede prior discussions on that subject; they do not supersede any separate written non-disclosure or investment agreement between us. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver of it.
Changes and contact
We may update these terms as the Service evolves. For material changes, we will provide notice by email or a prominent notice in the Service before the change takes effect; continued use after that notice is acceptance. Questions: Luminosity Ventures, LLC — ryan@luminosity.llc.
